1 Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and 100K Pathway (doing business as "100 Days $100K"). By accessing, browsing, registering for, purchasing, or using any part of our services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use our services.

2 Eligibility

You may use our services only if:

• You are at least 18 years old
• You have full legal capacity to enter binding agreements
• All information you submit is accurate and verifiable
• You have legal work authorization in your target country

If any submitted information is false, incomplete, or misleading, we may immediately deny, suspend, or terminate access without refund.

3 Service Description

100 Days $100K provides career advancement services including:

• Application submission and management
• Resume and LinkedIn optimization
• Interview preparation and coaching
• Salary negotiation support
• Mentorship and guidance

Services Do Not Include:

• Guaranteed job career transitions
• Immigration, legal, tax, or compliance advice
• Direct representation to employers
• Visa sponsorship or work authorization

4 Fees and Payments

All payments are processed according to the pricing plan you select:

• Upfront Fee: Must be paid in full before service begins
• Success Fee: Due within 30 days of accepting a qualifying offer
• All fees are non-transferable between plans or individuals

Payment Processing

Payments are processed securely through Stripe. By making a payment, you agree to Stripe's terms and privacy policy.

Chargebacks

Unauthorized chargebacks or payment disputes may result in immediate service termination and may be treated as breach of contract. We reserve the right to pursue collection of any amounts owed.

5 Refund Policy

Refunds are governed by our performance-based guarantee:

• If you do not receive your guaranteed minimum number of qualifying interviews within 100 days, you may request a refund until day 180
• Refunds are calculated based on interview shortfall
• Maximum refund is capped at 50% of upfront payment
• Refund eligibility ends immediately upon fulfillment of guaranteed interview count

Qualifying Interview Criteria

A qualifying interview must meet all of these requirements:

• Technical screen or onsite interview
• Role offering $80,000+ annual W-2 base salary
• Company with 20+ employees
• Candidate has legal work authorization
• Interview occurs within 180 days of program completion

6 Your Responsibilities

You agree to:

• Attend scheduled sessions and meetings
• Respond to communications in a timely manner
• Provide accurate and legitimate documentation
• Complete assigned tasks and follow guidance
• Maintain professional conduct at all times
• Use services only for lawful and intended purposes

Failure to meet these obligations may result in reduced effectiveness of services and does not qualify for refund.

7 Prohibited Conduct

You are strictly prohibited from:

• Harassing or abusing staff, mentors, or other participants
• Sharing proprietary content, curriculum, or materials externally
• Attempting unauthorized access to our systems or data
• Recording sessions without written permission
• Misrepresenting your affiliation with 100 Days $100K
• Using services for any illegal purpose

8 Intellectual Property

All content, materials, curriculum, processes, and documentation are owned exclusively by 100 Days $100K. Your license to use these materials is:

• Personal and non-transferable
• Non-exclusive
• Revocable at any time
• Limited to your individual use during service

You may not reproduce, sell, distribute, publish, or commercialize any 100 Days $100K materials.

9 No Guarantees

While we provide interview guarantees based on our refund policy, we do not guarantee:

• Job offers or employment
• Specific salary outcomes
• Employer responses or decisions
• Visa approvals or work authorization
• Timeline to employment

Any testimonials, examples, or case studies are illustrative only and do not represent typical results.

10 Service Availability

We may modify, update, reschedule, or replace any part of our services at our discretion. We are not liable for:

• System outages or technical errors
• Session rescheduling or mentor changes
• Temporary service interruptions
• Third-party service failures

Such events do not qualify for refunds or compensation beyond what is specified in our refund policy.

11 Limitation of Liability

To the maximum extent permitted by law:

• 100 Days $100K is not liable for indirect, incidental, punitive, or consequential damages
• We are not liable for lost income, career opportunities, or employment prospects
• We are not liable for acts or decisions of employers or third parties
• Our total liability is limited to the amount you paid in the 12 months before the claim

12 Indemnification

You agree to indemnify and hold harmless 100 Days $100K from any claim, loss, cost, or damage resulting from:

• Your breach of these Terms
• Your misuse of our services
• Your violation of any law or third-party rights
• False statements or fraudulent behavior

13 Termination

We may suspend or terminate your access immediately if:

• You violate any provision of these Terms
• Your payment is reversed or disputed
• You engage in prohibited conduct
• You create operational or legal risk

Termination does not eliminate your financial obligations for services already provided.

14 Dispute Resolution

Any disputes must be resolved through:

1. Written notice to 100 Days $100K
2. Good faith attempt at internal resolution
3. Binding arbitration if internal resolution fails

You waive the right to class action participation and jury trials. Arbitration will be conducted under the rules of the American Arbitration Association.

15 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any legal action must be brought in Delaware courts.

16 Changes to Terms

We may modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the updated Terms.

We encourage you to review these Terms periodically.
